About these terms

These terms of service ("terms") are an agreement between you and 2747636 Alberta Ltd., an Alberta corporation operating as XenoForm ("XenoForm", "we", "us"). They apply when you visit xenoform.ca or any page we run (the "site"), or request a free Digital Workforce Plan.

By using the site, you agree to these terms and to our privacy policy. If you do not agree, please do not use the site.

Who can use the site

The site is for businesses and the people who work for them. You must be at least 18 years old. If you use the site or request a plan for a company, you confirm that you are allowed to act for that company, and "you" includes the company.

Our services and separate agreements

We offer four services: XenoForm Scan (a fixed-price audit), XenoForm Forge (building and launching your digital team), XenoForm Orbit (managing it monthly) and XenoForm Lab (training for your staff).

These services are provided only under a written proposal or services agreement signed by both of us. That agreement sets the scope, price, timelines, data handling and responsibilities. If it conflicts with these terms, the agreement wins.

Descriptions on the site are general information, not an offer we must accept. Prices and timelines are binding only once they are in a signed agreement.

The free Digital Workforce Plan

• Free and no obligation. The session and the written plan cost nothing, and you do not have to buy anything afterwards.
• Estimates, not promises. Hours saved, costs, payback periods and other figures in your plan are good-faith estimates based on what you tell us and on typical results. Your actual results depend on your business, your tools and how the plan is carried out.
• Yours to keep. You may use your plan inside your business, including with another provider. We keep ownership of our methods, templates and know-how, and you may not resell the plan or publish it as your own work.
• Accurate details. Please give us accurate information. A plan is only as good as what goes into it.
• Our discretion. We may decline or reschedule a session, for example if we cannot help a business of your type.

XenoBridge

What it is. XenoBridge is our platform for property managers and landlords. Property managers use it to work with their landlords and tenants, and landlords who manage their own homes use it to work with their tenants, on rent, repairs, messages and paperwork. We build and run the platform. We are not a property manager, we do not act for landlords or tenants, and we never take over a property manager's clients.

Who can use it. A property management company, or a landlord who manages their own homes, signs up and, once we approve it, invites their own staff, landlords and tenants. You must be at least 18. If you register for a company, you confirm that you are allowed to act for it. We may approve or decline any registration.

Your account. Keep your password private, and keep the details in your account accurate. You are responsible for what happens under your account and for the staff you add. Tell us at [email protected] if you think someone has used your account without permission.

What property managers are responsible for. As a property manager, or a landlord managing your own homes, using XenoBridge, you agree to:

• follow the laws that apply to your business, including Alberta's Residential Tenancies Act, the Real Estate Act and the licensing rules of the Real Estate Council of Alberta where they apply, and Alberta's Personal Information Protection Act;
• have the right to add each landlord, tenant and staff member, and their information, to the platform;
• check every notice, inspection, invoice and message before you send or serve it. The platform's templates and reminders help you work faster, but they are not legal advice, and you remain responsible for their content and for serving them properly; and
• use the platform only for your own property management business or your own homes.

Money. Rent and deposits are paid through Stripe, under Stripe's own terms. Rent goes straight from the tenant to the landlord's own Stripe account. XenoForm never holds rent or deposits.

There is nothing to pay up front. Property managers set their own management fee, and the platform collects it when rent is paid. XenoBridge's share is 1% of the rent, taken from that fee, and 1% of each security deposit. Landlords managing their own homes pay no management fee, only XenoBridge's 1% of the rent and 1% of each security deposit. Stripe charges its own processing fees. We will give you at least 30 days' notice by email before changing what XenoBridge charges.

Your information and your clients' information. Information you and your landlords and tenants put into the platform stays yours. We use it only to run the platform for you, as our privacy policy explains. When you leave, you can ask for a copy of your information, and we keep our own copy for as long as we need it for legal, tax and business purposes.

Fair use. Don't use the platform to break the law, send spam, harass anyone, upload anything harmful, or try to get into accounts or data that aren't yours. We may suspend or close an account that does any of this, or that puts other users at risk. Where we can, we will tell you first.

Ending. You can stop using XenoBridge at any time by writing to [email protected]. We can end your use with 30 days' notice by email, or right away if you seriously break these terms.

Availability. We work to keep the platform running and accurate, but it is provided "as is", and we do not promise it will always be available or free of errors.

Our liability. To the fullest extent the law allows, our total liability to you for any claim about XenoBridge is limited to what XenoBridge charged you in the 12 months before the claim. The "Limits on our liability" section applies to XenoBridge too, in place of its CAD $100 limit.

Examples on the site

Team activity cards, sample reports and the figures in them are illustrations of the kind of work a digital team can do. They are not records of a real client's results unless we clearly say so.

Using the site

When you use the site, you agree not to:

• break the law, or infringe anyone's rights;
• send false information, or pretend to be someone else;
• send spam, malware or anything harmful through our forms;
• try to get into parts of the site or our systems you are not allowed into, or interfere with how they work;
• scrape, copy or harvest the site's content or contact details with automated tools, except for ordinary search engine indexing; or
• copy our content, design or branding to promote another business.

Information you send us

When you send us information through the site, you confirm that you are allowed to share it. Our privacy policy explains how we handle it. Please do not send health, financial or other sensitive information through our forms.

Our content and brand

The site and everything on it, including text, graphics, the XenoForm name, the Signal X logo and the site's design, belong to us or our licensors and are protected by Canadian and international law. You may view and print pages for your own business use. You may not copy, change, sell or reuse them otherwise without our written permission.

Ideas and feedback

If you send us ideas or feedback, we may use them freely and without paying you. Please do not send anything you want to keep confidential unless we have agreed to confidentiality in writing.

Other websites and tools

The site may link to other websites and use outside tools, such as booking or video-call services. We do not control them and are not responsible for their content or how they handle your information. Their own terms and privacy policies apply.

Changes to the site

We work to keep the site accurate and running, but we may change, suspend or remove any part of it at any time without notice, and we do not promise it will always be available or free of errors.

Disclaimer

The site and the free Digital Workforce Plan are provided "as is" and "as available". To the fullest extent the law allows, we make no warranties or conditions of any kind about them, express or implied, including about fitness for a particular purpose, accuracy or results. Nothing on the site is legal, tax, financial or other professional advice.

Limits on our liability

To the fullest extent the law allows, XenoForm and its directors, officers, shareholders, employees and contractors are not liable for any indirect, incidental, special or consequential loss, or for lost profits, revenue, data or business opportunities, arising from your use of the site or the free Digital Workforce Plan.

Our total liability to you for any claim about the site or the free plan is limited to CAD $100. These limits do not apply to anything the law does not allow us to limit. Liability for paid services is set out in your services agreement.

Your responsibility to us

You agree to cover our reasonable losses and costs, including legal fees, if a claim is made against us because you broke these terms or the law while using the site.

Governing law

These terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there. You and we agree that the courts of Alberta, sitting in Edmonton, have exclusive jurisdiction over any dispute about the site or these terms.

Changes to these terms

We may update these terms from time to time. We will post the new version here with a new "Last updated" date. Changes apply from that date. If you keep using the site after that, you accept the updated terms.

General

If any part of these terms cannot be enforced, the rest still applies. If we do not enforce a right straight away, we have not given it up. You may not transfer these terms to anyone else; we may transfer them to a company that takes over our business. These terms, with our privacy policy, are the whole agreement between us about the site. The headings are for convenience only.
